About these terms
This website, maiyatechnique.com (the "Site"), is operated by Maiya Technique Consulting Service Co., Limited, a company incorporated in Hong Kong SAR ("Maiya", "we", "us", "our").
These Terms and Conditions govern your access to and use of the Site. By using the Site you accept these terms. If you do not accept them, please stop using the Site.
These terms cover the Site only. They are not the terms on which we provide advertising, media buying, production or software services. Those are set out in a separate written services agreement, and where that agreement conflicts with these terms, the agreement prevails.
Definitions
- "Content" means all text, graphics, images, illustrations, video, audio, software, layout, design and other material made available on the Site.
- "Services" means the marketing, advertising, production and software services we provide to clients under a separate written agreement.
- "you" means the person accessing the Site, and where you access it for an organisation, that organisation as well.
Permitted use of the site
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site and its Content for your own internal business or personal information purposes.
You may print or download extracts for that purpose provided you do not modify them and you keep all copyright and other proprietary notices intact. This licence does not permit any commercial exploitation of the Content.
What you must not do
You must not:
- reproduce, republish, distribute, sell, licence, or create derivative works from the Content except as permitted in section 3 or with our prior written consent;
- use the Site for any unlawful purpose, or in breach of any applicable law or regulation;
- attempt to gain unauthorised access to the Site, its server, or any connected system or network;
- introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful;
- attack the Site by means of a denial-of-service attack or a distributed denial-of-service attack;
- use any robot, spider, scraper or other automated means to access the Site, or to collect data from it for the purpose of training a machine learning or artificial intelligence model, without our prior written consent;
- frame the Site, or present it in a way that suggests an association, endorsement or approval that does not exist;
- use our name, logo or trade marks without our prior written consent;
- send us any material that is unlawful, defamatory, obscene, or that infringes the rights of a third party.
A breach of this section may be a criminal offence. We may report a breach to the relevant law enforcement authorities and cooperate with them, including by disclosing your identity where we lawfully can.
Intellectual property
All intellectual property rights in the Site and its Content are owned by us or licensed to us. Nothing in these terms transfers any of those rights to you.
"Maiya" and "Maiya Technique", together with our logo and the visual identity of the Site, are our trade marks or trade dress, whether registered or not. Third-party names and marks that appear on the Site — including those of advertising platforms — belong to their respective owners and are used for identification only; their appearance does not imply any partnership, endorsement or affiliation unless we state so expressly.
If you believe Content on the Site infringes your rights, contact us at info@maiyatechnique.com with details and we will investigate.
Information on this site
The Content is provided for general information about us and our Services. It is not advice, and it must not be relied on as the sole basis for any decision. In particular, nothing on the Site constitutes legal, financial, tax or professional advice, and any statement about typical outcomes, results or performance is illustrative only.
Advertising results depend on factors outside our control — including your market, product, pricing, budget, competitive conditions and the policies and algorithms of third-party advertising platforms. Nothing on the Site is a promise, guarantee or forecast of any particular result, ranking, conversion rate, cost per lead or return on advertising spend.
We take reasonable care in preparing the Content but do not warrant that it is complete, accurate or up to date, and we may change it at any time without notice.
Enquiries and how services are agreed
The Site invites you to contact us. Any material on the Site — including any description of Services or indication of price — is an invitation to treat, not an offer capable of acceptance. Sending us an enquiry does not create any contract or engagement between us, and does not oblige us to accept your instructions.
We become engaged only when we and you sign a written services agreement, or when we confirm acceptance of a written proposal in writing. Until then, either side may walk away without liability.
Please do not send confidential or commercially sensitive information through the Site's contact channels before an NDA is in place. Information you send us before that will be treated with reasonable care but is not subject to any confidentiality obligation unless we agree one in writing.
Third-party links and platforms
The Site may link to third-party websites, platforms and resources. We provide those links for convenience only. We do not control, endorse or accept responsibility for third-party sites, their content, their availability, or any loss you suffer from using them. Your use of a third-party site is governed by that site's own terms.
Availability of the site
We do not guarantee that the Site will be available uninterrupted or error-free. We may suspend, withdraw, or restrict all or part of the Site for business or operational reasons, and we will try to give reasonable notice where we can.
You are responsible for arranging your own access to the Site, and for making sure that anyone accessing it through your connection is aware of these terms and complies with them.
Disclaimer of warranties
To the fullest extent permitted by law, the Site and its Content are provided "as is" and "as available", and we exclude all representations, warranties, conditions and terms that might otherwise be implied by statute, common law or the law of equity — including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site will be free of viruses or other harmful components. You are responsible for configuring your own information technology and platform to access the Site and for using your own virus protection software.
Limitation of liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to that paragraph, and to the fullest extent permitted by law:
- we will not be liable to you for any loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss or corruption of data, or for any indirect or consequential loss, however arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not foreseeable;
- our total aggregate liability arising out of or in connection with your use of the Site is limited to HKD 1,000.
This section applies to your use of the Site. Our liability in relation to the Services is dealt with in the applicable services agreement.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. If you are in such a jurisdiction, some of the above may not apply to you and you may have additional rights.
Indemnity
You agree to indemnify us and hold us harmless against any claim, loss, damage, liability, cost or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the Site, or your infringement of the rights of any third party through your use of the Site.
Privacy and cookies
Our handling of personal data is described in our Privacy Policy, and our use of cookies and similar technologies in our Cookie Policy. Both form part of these terms by reference.
Changes
We may revise these terms at any time by amending this page. The version and effective date at the top show the current edition. Changes take effect when posted, and your continued use of the Site after that constitutes acceptance. Please check this page from time to time.
We may also change or discontinue any part of the Site, including any Content, at any time.
Governing law and jurisdiction
These terms, their subject matter and their formation (including any non-contractual disputes or claims) are governed by the laws of the Hong Kong Special Administrative Region.
You and we agree that the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or the Site. If you are a consumer resident in a jurisdiction whose law gives you the right to bring proceedings in your local courts, this section does not remove that right.
General
Entire agreement
These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in relation to your use of the Site, and supersede any prior understanding on that subject.
Severability
If any provision of these terms is found to be unlawful, invalid or unenforceable, that provision is deemed severed and the remaining provisions continue in full force.
No waiver
If we delay in enforcing any provision of these terms, that is not a waiver of our right to enforce it later.
Assignment
You may not assign or transfer your rights under these terms. We may assign or transfer ours to a group company or to a buyer of our business, provided your rights are not adversely affected.
Third-party rights
A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of them.
Language
These terms are made in English. Any translation is provided for convenience only, and in the event of a conflict the English version prevails.
